Q: What are the benefits of joining LawAnytime®?

A: Using our search engine to locate specific documents on our site, members ay view the documents online in HTML, print screen, or copy and paste the document into any word processing program. The ready availability of these documents can help you to expand your practice and increase your firm's revenue. For in-house counsel, it can help you regain control over your department's budget. As a member, you are entitled to unlimited access to our documents and unlimited use of our site.

Q: What is meant by unlimited access and unlimited use?

A: During your paid membership term, you may access the same documents as often as necessary, and you may access as many different documents as you need, and you may view, copy and paste any documents at any time. You may also use all of the features of our search engine to locate desired documents in our Legal Documents Library.

Q: What kinds of documents can I access at LawAnytime®?

Q: What is the source of the contracts and other useful business law documents at LawAnytime®?

A: Each document in our library had been drafted for (a) companies listed on public stock exchanges such as the NYSE and the NASDAQ, (b) their subsidiaries or affiliates, (c) companies acquired by, spun-off from, or merged with them, or (d) companies and individuals in some other way associated with them. To the best of our knowledge the documents were researched and drafted by their in-house legal departments or outside law firms.

Most of our documents are obtained from filings with the United States Securities and Exchange Commission (SEC) site called EDGAR. EDGAR is designed for users to search for corporate filings such as an annual report or a quarterly report. EDGAR's primary focus is to provide information for investors. At LawAnytime®, we provide contracts, agreements, benefit plans, corporate, employment, real estate, investment and other documents extracted from the corporate filings on the EDGAR website. We then provide key information extracted from these legal documents including (1) the document title (documents titled "Agreement" at EDGAR are opened and given appropriate new titles at LawAnytime®); (2) contracting, sponsoring or filing parties; (3) effective date; (4) country and state/province whose law governs each contract or other legal document; and (5) whether the document has been redacted or retains the deal point specifics. This makes our Smart Search Engine faster and more accurate for locating the right contract than via a Boolean search of every word and every reference to other related documents in each entire document.

Currently, we provide over 100,000 different documents filed as exhibits to the 2004 - 2007 SEC filings. We are gradually adding prior year filings. To make your search results better we delete duplicate documents and virtually duplicate documents. For example, as we discover it we delete a second contract that differs from the first contract only in the name of one of the parties or the effective date.

Q: Can a non-member see the actual documents from the search results?

A: As you know, if the documents were viewable to everyone, non-members might be tempted to obtain our valuable documents without registering as a member of the library. Our library membership fee is very low especially when you consider the quality, scope and extensive number of documents that we offer our members. Please understand that your annual membership fee helps to underwrite the costs of operating our library and the costs of our staff. By contrast, public libraries use tax dollars and donations to operate.

Q: What if a document of interest to me is not on the web site?

A: We welcome input from our members. Notify us from our Contact Us page or send an e-mail at any time to suggestions@LawAnytime.com together with a description of the document you would like to see added to our web site. We cannot guarantee if, or when, the requested document will be posted on the site. However, we plan to continue expanding and updating our documents database several times each year and appreciate your guidance.

Q: Can I get e-mail notification when a specific new document is posted?

A: If you send us a request for notice with your document suggestion, we will do our best to send you e-mail notice when the document has been posted to the site. Later we hope to add an automated system to notify members of any document additions of their choice.

Q: How do I register to join the library and begin accessing contracts and other useful business law documents?

A: There are two ways to get to the Join the Library page. You may either:

 1. Move your cursor over Register on the menu bar at the top of each page and then click Join Now! to start the membership registration process.
 
OR
 
2. Use our search engine to find the document you want, then click on the log-in link beneath the document name. A new page will appear asking you to either enter your username and password or to join the library. Click on the link to Register Now. Follow the instructions to complete our registration form. We've kept enrollment simple for your convenience.

Q: What is the cost of an annual membership?

A: If you pay via PayPal, check or money order, your payment is only US$200.00 for an entire year payable in advance. Typically, an attorney can recoup the one year membership fee in less than 1 billable hour.

If you pay via VISA or Mastercard, your membership can cost as little as US$120.00 per year as a recurring charge every 12 months after the registration date (that's a mere US$10.00 per month) when you register for a minimum term of 4 years. Q: Will my email address be kept private from advertisers?

A: We respect your privacy and will not share your email address and other personally identifiable information with any third party advertisers that are not related subsidiaries or affiliates of LawVantage.com, LLC. We reserve the right to share your email address and other personally identifiable information with third party advertisers, if any, that are related subsidiaries or affiliates of LawVantage.com, LLC, its parent company, its successors, and any company into which it might be merged.

Q: What methods of payment are available to me?

A: We accept payment via the following methods:

Payment via Credit Card. The most common method of payment is via VISA or Master Card. Please enter your billing address exactly as it is written on your credit card billing statement or else your bank will reject it. (See below for more credit card payment FAQs).

Payment via Check. If you choose to pay via check or money order, a "Welcome to LawAnytime" email (that doubles as an invoice) will be sent automatically to you at the e-mail address you specified on the registration page. Please mail a copy of this email invoice together with the check for US$200.00 to our membership department at P.O. Box 54341, Irvine, California 92619-4341. After we receive payment, we will send you e-mail notification that your password has been activated. Due to bank fees, we only accept a check drawn on either a United States bank or a United States branch of a foreign bank or a PayPal (See below for more check payment FAQs).

Payment via PayPal. If you need to join on a rush basis and do not want to use your credit card, please use your PayPal account to pay your membership fee for immediate activation of your username and password. If you do not have a Pay Pal account and wish to choose payment via PayPal, first visit www.PayPal.com and set up a personal or business account. After we receive payment via PayPal, our web server will automatically activate your account and will send you e-mail notification that your account has been activated. Q: In what country must I be a resident in order to open a PayPal account?

A: This list is subject to change at anytime by PayPal. When last we checked PayPal.com, to be eligible for a PayPal Buyer account, you must be a resident one of the approved countries listed below:

Q: I tried to register using a credit card and the transaction failed. Why did it fail and what should I do?

A: Sometimes the connection with the bank is interrupted thereby interrupting the credit card transaction or your bank tells our bank that the credit card cannot be used because the credit limit would be exceeded or the card is otherwise rejected based on the information entered on your registration form. The most common reason we have seen over the years is that the billing address entered at registration does not exactly match the billing information for a corporate credit card which often uses a plus 4 zip code. Please check with your accounting department or your credit card statements for the exact billing information. If the card is still not accepted, please try a different credit card or a different payment method.

Q: Can I register paying with a check drawn on a bank account at a bank office located in my country (which is not the United States of America)?

A: No. Unfortunately, the cost of processing a check drawn on a bank account at a bank office located outside the United States of America is very expensive. We understand that some banks will charge fees totaling US$70.00 to US$100.00 per check. It is possible to use a PayPal check for some countries. You can set up a PayPal account tied directly to your local bank. You direct your bank to put money into your PayPal account either directly or through PayPal. Then you register as a LawAnytime® member, click PayPal as the method of payment and PayPal quickly and electronically sends the appropriate payment from your PayPal account to our PayPal account and sends us notice of payment received, and then our system automatically activates your account.

Q: Can I make payment in a currency other than US Dollars?

A: At this time we only accept payment in United States Dollars. We may add other options in the future.

Q: How many documents may I access under my password before my membership year has expired?

A: Your membership entitles you to unlimited access to documents on LawAnytime® during the term of your membership.

Q: Can I use your legal documents library if I have not registered as a library member?

A: You may use our search engine to determine if we have a document that appears to match your desired document. However, until you register as a paid library member you will be unable to view the effective date or the parties to the contract in our search results and unable to view the actual document. We reserve the right, at any time and in our sole discretion, to require non-library members to register as a non-member users before using our search engine.

Creating a Word Processor ready document on your computer

Q: How do I make a word processing copy of the document that I see in HTML at LawAnytime®?

A: Complete the four easy steps below:

 Step 1: Open a blank document in your word processing program.
 
Step 2: On the LawAnytime website, highlight the entire text of the document you wish to copy. Alternatively, click on Edit in your Internet browser's tool bar and then click on Select All from the drop down list. [Or click the "select entire document" link in the search results.]
 
Step 3: Press Control key + C (at the same time) on a PC or press the Command key + C on a Mac (it is the key with the apple symbol located to either side of the space bar) to copy the highlighted document or highlighted portions of it from our website.
 
Step 4: Paste the entire document into the blank document in your word processing program.

Q: What are the advantages of copying and pasting an HTML document into my word processing program over downloading a text file?

A: There are many advantages to this method of retrieving legal documents.

 Copying and pasting text:
 
1. is faster than downloading a document especially for long documents.
 
2. avoids the many glitches that can occur when downloading documents such as timing out due to the file size and lost connections.
 
3. is safer than downloading a text file document. Computer viruses are not transmitted through the copying and pasting of text as they can be with both downloaded documents and emailed document attachments. Because of the security of this method, download problems caused by firewalls, proxy servers, spam filters, and other network administration measures are avoided.
 
4. allows you the option to copy and paste only those provisions of a document that you want rather than downloading the entire file.

Q: Will I lose any formatting when I copy and paste an HTML document into my word processing program?

A: Most of the document paragraph formatting is retained and ready for your use. In our tests we sometimes retained table of contents formatting and at other times saw the page number skip to the next line. The tables and charts found in exhibits and appendices to the documents were converted into regular text with the data from the tables separated by tabs or spaces. In general, the HTML document realigned the paragraph indent tabs and centering to the left-hand margins and changed bold type to regular type.


5. General Troubleshooting   [return to top]

Q: What if I am unable to read the document that I just accessed with my password?

A: First, if you have not yet logged-in, then do so now. We allow everyone, including non-members, to use our search engine, but they may not see certain information in the search results and may not view the actual document until they have logged-in. Second, click on the link to the document from your search results page again.

If the document is still not readable go to our Contact Us page and select "technical problem" from the topic drop down list to start the process of getting support from our team. Enter the requested information so we can respond to you and help resolve the problem. In the "quick message" section of the form copy and paste the search results description only of the unviewable document and describe what appeared on your screen when you accessed the document such as an error message. (It helps us to repair the web site.) We will fix it and forward the document to you via e-mail.

Q: What if I forgot my password?

A: Place your cursor over "Support Center" in the menu bar at the top of any page and click "Forgot My Password" on the drop down list. Enter your username/email address and our server will send your password to your registered email address.

Q: What if I forgot which email address I used as my username?

A: Place your cursor over "Support Center" in the menu bar at the top of any page and click "Forgot My Password" on the drop down list. Next click "I Forgot My Username." Enter your name and zip code in the spaces provided and our server will send your username to your registered email address. Or try to log-in with your alternate email address and your password.
